FINANCING
BUILT ON
discipline.

At Northrup Studios, financing is not an afterthought. It is part of the creative design. Every project is structured to balance artistic ambition with financial discipline — using proven independent-studio models that prioritize capital protection, transparency, and long-term value creation.
We do not treat films as isolated bets. We build them as part of a repeatable studio system designed to reduce risk,
improve predictability, and create long-term value for everyone involved.
What follows is a high-level overview of how Northrup Studios approaches financing,
capital structure, and investor participation. Full offering materials, financial documentation,
and project-specific terms are provided separately to qualified parties upon request.
— how we structure capital
the capital stack
Each Northrup Studios film is financed using a tiered capital stack — a standard structure in professional independent filmmaking that clearly defines risk, repayment priority, and upside. Capital is layered from lowest risk to highest upside.
layer 01
lowest risk - first in
Where possible, we pursue non-equity funding sources such as tax incentives, minimum guarantees, fiscally sponsored donations, and strategic partnerships. These sources reduce the total equity required and lower overall project risk before a single equity dollar is deployed.
layer 02
when applicable - paid first
For select projects, secured financing may be used against reliable collateral such as tax credits (e.g. Colorado's 20-22% credit) or contracted distribution agreements (e.g. distribution Minimum Guarantees). These funds are repaid first from revenues and help further reduce equity exposure.
layer 03
upside layer - uncapped potential
Equity capital fills the remaining portion of the budget and participates in the upside of the film after senior obligations and expenses are satisfied. Equity investors take on more risk than lenders — but in exchange receive uncapped return potential tied to the film's long-term performance. This structure ensures equity dollars are not carrying the entire weight of the budget from day one.
— risk maNAGEMENT
designed-in risk protection
Risk mitigation at Northrup Studios happens before money is spent — not after problems arise. Our approach is structural, not reactive.
Scripts are developed with budget awareness from the earliest draft. We favor contained locations, limited casts, controlled visual effects, and production designs that reduce volatility while offering maximum cinematic impact.
We operate as a studio, not a one-off production company. Reusable workflows, asset libraries, and standardized processes reduce uncertainty and improve cost predictability across every project we build.
Each film is designed for a specific, achievable distribution strategy rather than speculative theatrical outcomes. This allows for conservative forecasting and clearer investor expectations from the outset.
Revenue distribution follows a defined waterfall so investors understand exactly how and when capital is recouped. No ambiguity. No surprises. Transparency is a structural feature, not a courtesy.
— investor participation
how equity investors participate
Equity investors participate through a project-specific investment vehicle
tied to an individual film or slate. While exact terms vary by project,
the general structure includes the following.
Equity investors recoup their investment from revenues after senior obligations are satisfied, according to a clearly defined waterfall. The sequence is documented and agreed upon before any capital is committed.

Unlike one-time revenue events, films can generate income over many years through streaming, licensing, international sales, and IP expansion. Equity investors share in this long-term performance rather than a single release window.

Returns are not guaranteed, and timelines vary. The structure is designed to align investor success with the long-term success of the studio and its stories. Full terms, projections, and risk disclosures are provided in project-specific offering materials.
— proof of execution
we have done this before
Northrup Studios is not a concept. We are an operating studio with a completed,
distributed feature film and an active distribution relationship with a major independent label.

A sharp young prosecutor and an idealistic social worker find themselves on opposite sides of the courtroom - and of love - until a mysterious case forces them to team up for the holidays and uncover a bigger truth than either of them imagined.
Our debut feature film — a holiday rom-com with a mystery twist set in Aspen, Colorado — was produced, completed, and distributed through BMG Global, a subsidiary of Twin Engines Global. It is available now on digital platforms and DVD.
This is not a pitch. It is a proof point. We developed the project, managed the production, navigated the distribution process, and delivered a finished film to market. That is the foundation on which every future Northrup Studios project is built.
Our ongoing relationship with BMG Global has produced a Letter of Intent for distribution of FrostBite — our next feature — before a single frame has been shot. That is what a track record makes possible.
— investor recognition
producer credits & recognition
Northrup Studios recognizes that investors are partners in the creative process — not just capital sources. Participation at qualifying levels includes meaningful recognition and access.
Qualifying equity investors receive an on-screen producer credit on the films they support — a permanent part of the film's record and a meaningful acknowledgment of their role in bringing the story to life.
Investors are invited to screenings, premieres, and select production events. You are part of the story — and we want you in the room when it is told for the first time.
Regular production updates, financial reporting, and distribution milestones are shared with investors throughout the life of each project. You will always know where your capital is and how the film is performing.
Qualifying investors may participate at the Executive Producer level, with defined oversight rights and involvement in key production decisions.
Executive Producers receive regular briefings on production status, budget performance, and distribution progress — not just at milestones, but throughout the process.
EP-level investors are consulted on major creative and financial decisions that materially affect the project, consistent with the terms of the investment agreement
All financial reporting follows a standardized format so EP investors can evaluate performance clearly and consistently across projects.
Executive Producer credits appear on-screen, in press materials, and in all official project documentation — a permanent part of the film's public record.
EP investors have access to Graham Northrup directly for questions, updates, and strategic conversations. We believe in relationships, not just transactions.
Northrup Studios exists to prove that meaningful, audience-focused films
can be made responsibly and repeatedly. Our financing philosophy reflects
that belief: disciplined budgets, transparent structures, aligned incentives,
and stories built to last.
